Welcome to Raya! The terms “we”, “us” and “our” refer to Raya-Fashion Sàrl, a company registered and headquartered in Switzerland.  Raya operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Raya is powered by Shopify, which enables us to provide the Services to you.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or country of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

ORDERS AND PRE-ORDER (Limited Model)

"Pre-Order Model (99 Pieces):

Due to our limited production model of 99 pieces per design, all accepted orders are considered pre-orders. Raya’s confirmation of your order validates your reservation for a uniquely numbered piece. Production of the item will begin only after the pre-order period has ended. "

Your purchases are subject to return or exchange solely in accordance with our Refund Policy [LINK], and applicable consumer protection laws in your jurisdiction of residence. This includes the statutory right of withdrawal of fourteen (14) calendar days for customers residing in the European Union (EU) and the United Kingdom (UK). The customer is responsible for return shipping costs.

SHIPPING AND DELIVERY (Production Timeline)

We are not liable for shipping and delivery delays. All delivery times are estimates only and are in no way guaranteed. Please note that the estimated delivery time includes the production period of [10] weeks following the pre-order cycle closure. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Raya, its affiliates or licensors. All such content is protected by Swiss and international copyright, patent, trademark, and other intellectual property laws.

These Terms allow you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.

Raya’s names, logos, product and service names, designs, and slogans are trademarks of Raya or its affiliates or licensors. You may not use, reproduce, or display any of these trademarks without Raya’s prior written consent.

We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites.

Except as expressly stated by Raya, the Services and all products offered through the Services are provided “as is” and “as available”, without any representations, warranties, or conditions of any kind, except for mandatory legal warranties.

You agree to indemnify, defend and hold harmless Raya, Shopify, and our affiliates, partners, officers, directors, employees... from any losses, damages, liabilities or claims... due to or arising out of (1) your breach of these Terms of Service... (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

"These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable in any respect, such provision shall be severed, and the remaining provisions shall continue in full force and effect."

"Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

In the event of any translation of these  Terms of Service into other languages, the English version shall govern and prevail in all respects"

GOVERNING LAW (Swiss Exclusive Clause)

"These Terms of Service and any contracts formed between Raya-Fashion Sarl and its customers shall be governed by and construed in accordance with Swiss law.

In the event of any dispute arising from a consumer contract, the consumer retains the right to bring proceedings either in their country of residence or at the location of Raya-Fashion Sarl’s headquarters in Switzerland.

The United Nations Convention on Contracts for the International Sale of Goods (CISG), concluded at Vienna on 11 April 1980, shall not apply to these Terms of Service."
